Terms of Service
Effective date: 3 October 2026
These Terms of Service ("Terms") are an agreement between you and Systemctl, a company registered in Georgia and based in Tbilisi ("StvenaMind", "we", "us"). They cover your use of the StvenaMind macOS app, its bundled engine and command-line tool (eng), its local dashboard, and the website at stvenamind.com. Together these are the "Service".
1. Accepting these Terms
You accept these Terms when you download, install, or use the Service. If you use it for an organization, you confirm that you can bind that organization, and "you" includes it. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18, or the age of majority where you live, and able to enter a binding contract. You may not use the Service where the law forbids it, or if you are subject to sanctions that prohibit dealing with us.
3. Definitions
- App: the StvenaMind macOS application and its updates.
- Engine: the local eng program bundled with the App. It also runs on its own as a command-line tool and background process.
- AI Provider: a third-party AI service you connect through its own command-line tool. Today these are Anthropic's Claude Code and OpenAI's Codex.
- Your Content: the repositories, source code, prompts, feature descriptions, tests (including held-out checks), settings, and other material you provide or that the Service reads on your behalf.
- Output: code, plans, diffs, tests, reports, and other material that AI Providers or the Engine produce from Your Content.
4. The Service
StvenaMind coordinates AI coding agents on your Mac. You describe a change to a git repository you register. A planning agent breaks it into tasks, worker agents build them in isolated git worktrees, and the Engine runs your project's checks. You then review the result and accept or reject it. Accepting applies the change locally by fast-forward. The Service never pushes to a remote repository.
The Service runs on your computer. We do not host your code, and we operate no servers that receive Your Content.
5. Beta software
The Service is a free beta. Its builds may not be notarized by Apple, may contain bugs, and may change, lose features, or stop working without notice. Do not rely on it as your only safeguard for important code. Keep your repositories under version control and back them up. We may end the beta, or any part of it, at any time.
6. License
We give you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license. It lets you install and use the App and Engine on Macs you own or control, for your own or your organization's software development, under these Terms. You may not:
- sell, rent, lease, or redistribute the App or Engine, or offer them as a hosted service;
- reverse engineer, decompile, or disassemble them, except where the law allows this despite this restriction;
- remove or change any copyright, trademark, or other notice;
- get around any technical limit, sandbox, or safety control in the Service.
Open-source parts of the Service are licensed under their own licenses. Where those licenses conflict with these Terms, they apply to those parts.
7. Accounts
The App does not need a StvenaMind account. The only StvenaMind account is the optional waitlist account on stvenamind.com. You create it by signing in with Google, GitHub, or a link we email you. We use it to hold your place in line and to contact you about access. Your place in line reflects when you joined and does not guarantee access by any date. Keep your sign-in method secure. You can ask us to delete your account at any time by emailing [email protected]. You are responsible for your Mac, your macOS user account, and anyone who uses the Service on them.
8. AI Providers and your credentials
The Service does not include AI models. It runs the AI Provider command-line tools you install and sign in to yourself.
- Your relationship with each provider is separate. Anthropic, OpenAI, and any future AI Provider operate under their own terms, usage policies, and privacy policies. You must have a valid account and follow those terms. You pay any fees they charge.
- Your credentials stay with the provider tool. You sign in through the provider's own tool, for example claude auth login or codex login. StvenaMind does not ask for, store, or read your provider tokens. If you set provider environment variables, such as API keys or base URLs, the Engine passes them only to that provider's tool.
- Your Content goes to the provider you choose. When a run starts, the Service sends the relevant parts of Your Content to the AI Provider you set for each role. The provider handles that data under its own terms. Check them before you send confidential or regulated code.
- Usage limits. AI Providers set rate limits and quotas. The Service may show or respect them, but we do not control them. Runs may stop when a limit is reached.
- No endorsement. We are not affiliated with, endorsed by, or responsible for any AI Provider. Their names are trademarks of their owners.
9. Commands, files, and permissions
The Service acts on your computer at your direction. It reads and writes files in the repositories you register. It creates git worktrees and branches, runs the check commands in your project's configuration, and lets agents run commands. Agent commands run inside the provider's sandbox, with network access off by default, and need your approval unless you have chosen an "allow all" setting.
You are responsible for the repositories you register, the commands and checks you configure, and every approval you give. Use "allow all", network access for agents, and similar settings only for code and machines where you accept the risk. You may stop work at any time with the emergency halt.
10. Acceptable use
You may not use the Service to:
- break any law, or any AI Provider's terms or usage policy;
- process code, data, or secrets you have no right to use, or infringe anyone's intellectual property or privacy;
- create malware or other harmful code, or attack, probe, or gain unauthorized access to any system;
- build a competing product by copying the Service;
- interfere with or overload any service the Service connects to.
11. Your Content and Output
You keep your rights. You keep all rights you hold in Your Content. We claim no ownership of your code, and because the Service runs locally, we do not receive it.
Output. Between you and us, Output belongs to you to the extent the law allows. Your rights in Output may also depend on your AI Provider's terms. AI-generated material may not be protected by copyright in some countries.
You must review Output. AI agents make mistakes. Output may be wrong, insecure, incomplete, or similar to code owned by others. Passing checks, tests, held-out checks, or oracle-path rules does not prove that Output is correct, secure, or free of third-party rights. Review, test, and take responsibility for all Output before you accept, ship, or rely on it. You decide what to accept, and the Service applies changes only when you accept them.
Run reports. The Service can create a redacted run report for you to save. It is never uploaded on its own. If you choose to send it to us, you let us use it to diagnose problems and improve the Service. It includes a code diff only if you choose to add one.
12. Feedback
If you send ideas, suggestions, bug reports, or run reports, we may use them freely and without paying you. This does not give us any right to Your Content beyond what you chose to send.
13. Our intellectual property
The Service, including its software, design, and the StvenaMind name and logo, belongs to Systemctl and its licensors. It is protected by intellectual property laws. These Terms grant you only the license in section 6, and we keep every other right.
14. Fees
The beta is free. If we introduce paid plans, we will publish their prices and terms first. You will not be charged unless you agree to them. AI Provider fees are separate, and you pay them to the provider.
15. Updates and changes
We may release new versions that add, change, or remove features. The current beta does not update itself, so you choose when to install a new version. We may update these Terms. We will post the new version on the website with a new effective date. For material changes, we will also give notice on the website or in the App. Continuing to use the Service after a change means you accept it.
16. Termination
You may stop using the Service at any time by uninstalling the App. Your local data stays on your Mac until you delete it (see the Privacy Policy). We may suspend or end your license if you break these Terms, or when we end the beta. Sections 11–13 and 17–22 survive termination.
17. Disclaimer of warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. THESE INCLUDE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE OR OUTPUT WILL BE ACCURATE, SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT THEY WILL NOT HARM YOUR CODE, REPOSITORIES, DATA, OR SYSTEMS. WE ARE NOT RESPONSIBLE FOR AI PROVIDERS OR THEIR SERVICES.
18. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS, REVENUE, DATA, OR CODE, AND THE COST OF REPLACEMENT SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND (B) USD 50.
Some jurisdictions do not allow certain warranty exclusions or liability limits. In those places, the limits apply only as far as the law allows. Nothing in these Terms limits liability for fraud, gross negligence, intentional misconduct, death, or personal injury caused by negligence, where the law forbids such limits.
19. Indemnity
You will defend and indemnify Systemctl against third-party claims, and the losses and reasonable costs that come from them, to the extent they arise from any of the following: Your Content, Output you accept or distribute, your breach of these Terms, or your breach of an AI Provider's terms.
20. Governing law and disputes
The laws of Georgia govern these Terms, without regard to conflict-of-law rules. The courts of Tbilisi, Georgia have exclusive jurisdiction. If you are a consumer, you keep any mandatory protections of the country where you live, and you may also bring a claim in its courts. Before filing a claim, please contact us at [email protected] and give us 30 days to try to resolve it informally.
21. Export and sanctions
You will follow all export control and sanctions laws that apply to the Service and to your use of it.
22. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If a court finds any provision unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control.
